Terms of Service

These Terms of Service ("Terms") govern access to and use of: (a) the SoundMinds.ai marketing website (the "Website"), and (b) the SoundMinds.ai customer support chatbot platform, dashboard, APIs, integrations, documentation, SDKs, and related services (the "Service"). The Website and Service are collectively the "Offerings."

By accessing or using the Offerings, or by clicking "I agree" (or similar), you agree to these Terms. If you are using the Service on behalf of an organization, you represent you have authority to bind that organization, and "Client" refers to that organization.

1. Definitions

  • "Client" means the business customer that creates an account to use the Service.
  • "End Users" means Client's customers or audience who interact with Client's chatbot(s).
  • "Client Content" means any knowledge base content, Q&A pairs, prompts, instructions, conversation transcripts, files, links, or other materials provided by or on behalf of Client.
  • "Output" means responses generated or returned by the Service (including AI-assisted outputs where enabled).
  • "Subscription" means a paid plan (or trial) that grants access to the Service for a defined term.

2. The Service (What We Provide)

SoundMinds.ai helps Clients deploy customer-support chatbots that can answer questions using Client Content and configured behaviors, and may optionally use AI features depending on configuration.

Important: Output may be inaccurate, incomplete, or inappropriate in some contexts. Client is responsible for configuring the Service appropriately for its use cases and for human review where needed.

3. Eligibility and Account Registration

You must be at least 18 years old (or the age of majority where you live) and able to form a binding contract.

You agree to:

  • provide accurate and complete registration information;
  • maintain and secure your login credentials and multi-factor authentication; and
  • promptly notify us of unauthorized access.

4. Client Responsibilities

Client is responsible for:

  • the accuracy, legality, and appropriateness of Client Content;
  • configuring escalation paths and customer-facing disclosures as needed;
  • ensuring End User notices and consents are provided where required by law (including privacy notices and platform-specific disclosures); and
  • compliance with applicable laws and third-party policies (e.g., social platforms, messaging providers).

5. Acceptable Use

You will not (and will not permit others to):

  • use the Offerings for unlawful, harmful, deceptive, infringing, or abusive purposes;
  • transmit malware, spam, or attempt to disrupt or overload the Service;
  • probe, scan, or test the vulnerability of the Service or bypass access controls;
  • scrape, reverse engineer, or attempt to extract source code except as permitted by law;
  • use the Service for high-risk activities where errors could lead to harm (e.g., medical, legal, financial, safety-critical decisions) unless you implement appropriate disclaimers, expert review, and human-in-the-loop controls.

We may suspend or terminate access for violations of this section.

6. Subscriptions and Payment

Paid Subscriptions are billed in advance on a monthly or annual basis. Fees are non-refundable except as required by law or expressly stated in these Terms.

We may change pricing with at least 30 days' notice before your next renewal. Continued use after a price change constitutes acceptance.

7. Free Trials

We may offer free trials at our discretion. At the end of a trial, your account will convert to a paid Subscription unless you cancel before the trial ends.

8. Intellectual Property

8.1 Our IP

We retain all rights in the Offerings, including software, APIs, documentation, and branding. Nothing in these Terms transfers ownership of our intellectual property to you.

8.2 Client Content

You retain ownership of Client Content. You grant us a limited license to host, process, and display Client Content solely to provide and improve the Service.

8.3 Feedback

If you provide suggestions or feedback, we may use it without obligation to you.

9. Privacy and Data

Our Privacy Policy describes how we collect, use, and protect personal information. By using the Offerings, you agree to our Privacy Policy.

10. Disclaimers

THE OFFERINGS ARE PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee that the Service will be uninterrupted, error-free, or that Output will be accurate or suitable for any particular purpose.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE OFFERINGS IS LIMITED TO THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE (OR $100 IF YOU HAVE NOT PAID US).

WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA, OR GOODWILL.

12. Indemnification

You agree to indemnify and hold us harmless from claims arising from: (a) your use of the Offerings; (b) Client Content; (c) your violation of these Terms; or (d) your violation of any third-party rights.

13. Term and Termination

These Terms remain in effect until terminated. You may terminate by closing your account. We may terminate or suspend access for any reason with notice, or immediately for violations of these Terms.

Upon termination, your right to use the Service ends. Sections that by their nature should survive (e.g., disclaimers, limitations of liability, indemnification) will survive termination.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of North Carolina, USA, without regard to conflict of law principles.

Any disputes will be resolved in the state or federal courts located in North Carolina, and you consent to personal jurisdiction in those courts.

15. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on the Website or by email. Continued use after changes take effect constitutes acceptance.
